ECOMMERCIAL LICENSE

A commercial business license is only necessary if you plan on actually operating an office or physical business in Panama, having employees, selling your product/service to Panamanians, etc. If that is your goal, then you should contact us and inform us of your business plans so that we can provide further guidance in that regard. Please note that the corporation must be in good standing with the Panama public registry in order to obtain a commercial business license. This means that the corporate franchise taxes must be paid up to date. This is regulated through the Law 25 of august 26, 1994, and the Executive Decree 35 of may 24, l996.
According to the Law, are required to apply for a Commercial License every Natural or Juridical (Legal) Person that develop continuously a commercial or industrial activity under the territory of the republic of Panama.

According to the Law, the Classification of the Licenses are the following:
TYPE "A": To practice whole sale business (can be obtained by Panamanians and foreigners). It includes:
" Services, except the classified as retail business.
" Sales to the Government entities.
" The practice of all type of commercial activities, except the classified as retail business.
TYPE "B" : To practice either whole sale business and retail business, and Services. (can be obtained only by Panamanians). It includes:
" Direct sales to consumer.
" Merchant companies representation or agencies.
" Any other activity that special Laws classify.
Note: There are some types of activities that require special authorization from the respective authority that regulates such activity, like for example: liquor, restaurant, guns and weapons, etc.
Required Documents:
1. Power of Attorney (we will draft it).
2. Certificate from the Public Registry of Panama (we will get it).
3. Photocopy of Id (personal identification card) or Passport of Directors, Dignitaries, Legal Representative (Client has to send it unless using Nominees).
4. In case of License type B: Certification signed by the Secretary of the Corporation stating accomplishment of the article 288 of the Constitution of the Republic of Panama (we will draft it).
5. Certification that proves ownership on the Property or Lease Contract of the Property, where the Company is located and doing business (Client should provide this information).
